BLK CONSENT AND RELEASE
For good and valuable consideration, including the opportunity for free BLK merchandise, the receipt and sufficiency of which I hereby acknowledge, I agree as follows:
1. I hereby grant to Match Group Americas, LLC ("BLK") and its officers, directors, employees, agents, parents, subsidiaries, affiliates, franchisees, licensees, successors, and assigns, and others working for each of them or on their behalf (collectively, the "BLK Parties"), the right and permission to photograph, film, videotape and/or record me (the "Interview") and to use the resulting photographs, films, videotapes, and/or recordings, edited or altered by the BLK Parties as they see fit, including, as well as my image, picture, likeness, face, voice, and performance, combined with any other material that the BLK Parties so choose or that I provide to BLK, to create and exploit, throughout the world, certain materials (collectively, the "Content") for any lawful purpose, including, without limitation, advertising, marketing, merchandising, and promotional materials. I understand and acknowledge that, as part of the BLK Parties' evaluation of whether to use any Content, the BLK Parties may consider information regarding my use of social media and other publicly accessible information.
2. I agree that the Content may be used and exploited by the BLK Parties in any manner, venue, format, or media (whether now known or hereafter devised), anywhere in the world, in perpetuity, including, without limitation, for purposes of advertising, promotion, and trade. I understand that nothing herein shall obligate the BLK Parties to make or use any Content.
3. I further agree that I shall have no right of approval or inspection and no claim against the BLK Parties arising out of any use or exploitation of the Content, including any alteration, faulty reproduction, or fictionalization of my likeness, whether intentional or otherwise. I also hereby waive any right to enjoin or interfere with the production, use, distribution, or exploitation of any Content.
4. I agree not to make any negative or derogatory mention of BLK or any of the Match Group family of brands or any of their services, including any statements that disparage or reflect unfavorably on the BLK brand.
5. This Agreement shall be governed by the applicable laws of the State of Texas, without regard to its conflict of laws principles, and any action to enforce it shall be brought exclusively in the courts located in Dallas County, Texas. I hereby irrevocably submit to the jurisdiction of such courts and waive any objection that such courts constitute an inconvenient forum.
6. This Consent and Release represents the entire agreement between the parties relating to this subject matter and supersedes any prior agreement. Neither party has made or relied upon any representation not expressly contained in this Agreement.
